As communicated throughout the past year, all not-for-profit organizations in Ontario are now governed by new Ontario legislation called the Not-for-Profit Corporations Act, 2010 (ONCA). As a result, not-for-profit corporations are required to update their by-laws (and sometimes other documents) to become compliant with the new legislation and regulations by October 2024.
In the fall of 2023, NTSC established an ONCA Bylaw Committee to assess the needed changes to our bylaws and incorporating documents. The committee and Board have worked hard to finalize the proposed changes and these changes will now be brought to the membership for review and approval in the month of September.
While the by-laws are changing (along with minor updates to the Letters Patent via articles of amendment), those involved with the changes have worked to preserve the essence of who we are as a club and the way we operate. Most changes made to the documents are additions to conform with the new regulations.
This information session is to share and discuss the proposed changes to the Club’s bylaws and Letters Patent and answer any questions. It is our hope to get member feedback prior to a vote on the new by-laws later in the month. We will produce an FAQ following this meeting and share it with the members.
